Welcome to Protect Your Assets™ (PYA™)! These Terms of Use ("Terms") govern your access to and use of our mobile application ("App") and any related services provided by Protect Your Assets ("we," "us," or "our"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, please do not use the App.
1. Acceptance of Terms
By using the App, you affirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. User Accounts
To access certain features of the App, you will need to create an account. You agree to:

- Maintain the security of your password and account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
- Be legally responsible for all activities that occur under your account.
3. Services Provided
Protect Your Assets connects customers with licensed security professionals. We do not provide security services directly and are not responsible for the actions of any of the security professionals. All arrangements are made between the customer and security professional.
4. User Conduct
You agree not to:
- Use the App for any illegal or unauthorized purpose.
- Harass, threaten, or harm other users.
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
- Transmit any viruses, malware, or harmful code.
- Attempt to gain unauthorized access to any part of the App or its related systems or networks.
- Disclose any proprietary information.
- Release any personal information of a client, to include, but not limited to: Names, addresses, phone numbers, email, and itinerary to anyone without written consent of involved all parties.
- Not utilize the app to secure business opportunities outside of the application. Violators are subject to lifelong ban from the app and subsequent legal action.
5. Payment Terms
All payments for services booked through the App must be made through our platform. We may charge service fees in addition to the security professional’s rates. Cancellation policies vary by security professional and will be communicated at the time of booking.
6. Limitation of Liability
To the fullest extent permitted by law, Protect Your Assets shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App and subsequent security services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
7. Dispute Resolution
Any disputes arising out of or related to these Terms or your use of the App and subsequently security services, shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.
8. Changes to Terms
We may modify these Terms from time to time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Services after any changes constitutes your acceptance of the new terms.
9. Third-Party Services
Protect Your Assets may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

Protect Your Assets is provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the App or the information, content, materials, or products included in the App.
11. Limitation of Liability
To the fullest extent permitted by law, Protect Your Assets shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
12. Indemnification
You agree to indemnify, defend, and hold harmless Protect Your Assets and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

15. Legal
Impersonation of a licensed security official is a criminal offense and can carry up to five years in prison and $10000.00 in fines.
16. Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable in any respect by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms and Conditions, and shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. Furthermore, the parties agree to replace any invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.
